Please Help. Usb problem 9800 hd se

I just got my hd se out of the box. Plugged it in and is ready to go. I put the latest firmware on a 8 gb scan disk usb stick that is formatted to fat 32. The files are unzipped. My problem is that when I go to menu and then tools. Plug in the usb and the hit upgrade by usb. It shows no files. Am I missing a step or doing something wrong? Any advice would help.
